By accepting these Terms, the User declares that it uses the Service in the course of its business activity. This agreement qualifies as an agreement concluded between undertakings, and consumer protection legislation does not apply to it.

1. Definitions

Service Provider / SELLVIO: ErdSoft Hungary Kft. (registered seat: 6720 Szeged, Kígyó utca 4.; company registration number: 06-09-030198, registered by the Company Registry Court of the Szeged Regional Court; tax number: 32725458-2-06; represented by: Erdudac Dániel, managing director; e-mail: [email protected]).

User: a person who has reached the age of 18 and has legal capacity, or the representative of a business organization, who in every case registers in their own name or in the name of the business organization they represent, providing genuine personal data and contact details.

Online Store / Online Store System: the Online Store System service provided by the Service Provider for the purpose of selling goods and services, including the administration interfaces and the functions included in the various plans.

Service: the Online Store System provided by SELLVIO.

Availability: availability time covers exclusively the accessibility of the ordering (cart) and product display (frontend) functions of the online store.

2. Subject of the agreement, ordering

2.1. Within the framework of this agreement, SELLVIO provides an Online Store System as a service to its registered Users under various pricing plans.

2.2. The User orders the selected service on the Service Provider's website using the menu item designed for this purpose. The selected plan may also be purchased by bank card. The User pays the service fee in advance for the service period.

2.3. By placing an order, the User undertakes to pay the service fee.

3. SELLVIO's obligations

3.1. Online store service: SELLVIO provides the User with an online store system (Online Store) on which the User may display and sell its products. SELLVIO grants the User the right to use the Online Store as defined in this GTC.

3.2. SELLVIO ensures that the ordered online store has the functions corresponding to the characteristics of the subscription plan (see: plans).

).

3.3. SELLVIO assigns a storage limit to every subscription plan, expressed in gigabytes (GB). SELLVIO informs the User about storage usage through the Online Store System interface.

3.4. SELLVIO provides the User with a theme selector service available in the Online Store's administration interface (Theme Selector), by means of which the User may modify the appearance of the Online Store at its own discretion and responsibility. By using the Theme Selector, the User accepts that future system updates affecting the selected theme take effect automatically, and that SELLVIO accepts no liability for changes or errors arising as a result of or in connection with such modification.

3.5. During registration the User is obliged to provide genuine data that can be linked to it. If SELLVIO becomes aware that the data provided contains (any) non-genuine elements, it is entitled to restrict access in part or in full, or to exclude the User from using the Online Store System.

3.6. Integrated services may also be ordered. Through the administration interface provided by SELLVIO for the Online Store system (the Online Store System and the related administration interfaces together: the „System”), the User may conclude an agreement with SELLVIO's partner (the „Partner”) for the use of applications (the „Applications”).

3.7. The User acknowledges that Integrated services are services provided by third parties, and that by ordering them a contractual relationship governed by separate terms is established between the User and the third party.

3.8. SELLVIO shall notify the User without delay of any circumstance that comes to its knowledge and that would prevent or significantly hinder Availability for a prolonged period. This provision does not release the User from its obligation to report faults.

3.9. If SELLVIO detects unlawful or improper use by a user, it is entitled to restrict the services in part or in full, or to suspend or terminate the service while notifying the User at the same time.

3.10. If SELLVIO detects an activity that infringes any act or other legislation, or a suspicion thereof, it is entitled – while observing the rules on data and confidentiality protection – to access the data managed by the User, to provide access to the authorities (where such access is lawful and justified), and to use such data in order to prevent damage.

3.11. SELLVIO may engage subcontractors in the course of performance. SELLVIO is liable for the subcontractor's performance, both in terms of quality requirements and deadlines, as if it had carried out the work entirely itself, and shall ensure that its subcontractor acts in accordance with the business confidentiality undertaken by SELLVIO.

3.12. In the course of performing this agreement, it is not SELLVIO's task to detect and correct the User's erroneous data entry, or to carry out the resulting troubleshooting and correction.

3.13. For maintenance and customer service purposes, SELLVIO's operating staff are entitled to log in to the administration interface of the User's Online Store, modify settings there, run test processes, and place measurement codes on the website that support optimization and troubleshooting. In such cases SELLVIO's staff may access the personal data of persons registered on the online store's website. SELLVIO qualifies as a data processor with respect to the personal data of the Online Store's customers and acts in accordance with the applicable data protection rules, in particular Regulation (EU) 2016/679 (GDPR). The parties set out the rules of data processing in a data processing agreement.

3.14. SELLVIO provides 24/7 accessibility of the online store service with 99.9% availability per calendar year. Maintenance periods announced to Users in advance are not counted towards the guaranteed availability time. SELLVIO makes every effort to ensure that the Online Store service also operates without disruption during maintenance periods.

3.15. If SELLVIO is unable to maintain the undertaken availability due to the User's delayed provision of information or any other circumstance beyond SELLVIO's control, it shall – where possible – inform the User without delay. SELLVIO bears no liability for defective performance occurring for reasons beyond its control (e.g. malfunction of the internet connection, an outage caused by a third party); disruptions arising for such reasons and the related restoration works qualify as announced maintenance time under Section 3.14.

4. The User's obligations, technical requirements

4.1. The User is obliged to pay the service fee in advance and to accept SELLVIO's contractual performance, and is further obliged to provide SELLVIO with the cooperation necessary for the performance of the service.

4.2. Managing, uploading and administering the products available in the User's online store is in every case the User's task. SELLVIO does not take part in the sales process conducted in the User's online store and has no relationship with the buyers; only the User is in a contractual relationship with them. The User alone is liable for the authenticity of the products and services in the online store and for the sale itself. Any legal disputes relating to the commercial activity are settled exclusively between the User and the buyer, or between the User and the competent authority.

4.3. The User is obliged to comply with all statutory obligations relating to the purchase, the operation of the online store and the conduct of electronic commerce activity (displaying up-to-date, genuine company data, publishing delivery and payment methods and the rights of withdrawal, warranty and guarantee, etc.), and to record any changes in its company data in the administration interface of its online store. SELLVIO provides tools for this through the functions of the service. If the information obligation is not fulfilled, SELLVIO is entitled to suspend the public, visitor-facing part of the service until the deficiencies are remedied.

4.4. The User is obliged to ensure that, in the course of using the online store service and conducting its business activity, the rights and legitimate interests of third parties and the provisions of applicable legislation – in particular consumer protection rules – are not infringed.

4.5. If a breach of law is detected, SELLVIO is entitled to restrict the accessibility of the online store (blocking the admin interface) and to suspend the service, and shall cooperate with the acting authorities and courts in order to uncover the infringements.

4.6. The system access rights of the User's staff are managed by the User through the administrator designated for this purpose. The User may add and delete staff members, modify the data of existing staff members, and activate and deactivate staff members.

4.7. The User is obliged to store the administrator passwords of the online store securely so that no unauthorized person can access them; the User bears liability for any damage arising from a failure to do so.

4.8. The User may not transfer the services provided by SELLVIO to a third party without SELLVIO's express written consent; any such transfer is invalid.

4.9. SELLVIO regularly makes backup copies of the Online Store's data and checks their integrity.

4.10. Contractual performance as undertaken by SELLVIO in this GTC requires the User to have appropriate hardware and software. For proper operation, the User is obliged to ensure the following technical conditions:

4.10.1. The Online Store is a SaaS-based (Software as a Service) software service requiring an internet connection.

4.10.2. SELLVIO operates the Online Store on servers provided by itself. The service cannot be operated on servers designated by the User and not provided by SELLVIO.

  • 4.10.3. Conditions of login:
  • a broadband internet connection;
  • a computer capable of running a supported internet browser;
  • knowledge of an active username and password;

only one login at a time is possible with the username and password used for logging in.

4.10.4. Conditions of work: the conditions of login are met, and in addition the User has paid the current service fees and has no overdue debt towards SELLVIO.

4.10.5. Supported browsers (always the latest version): Mozilla Firefox, Google Chrome, Opera, Microsoft Edge, Android Browser, Google Chrome for Android, Opera Mobile Browser, Apple iPad Safari, Apple OS X Safari.

4.10.6. If the User experiences an error in an earlier version of the listed browsers, SELLVIO is not obliged to fix it; updating the browser is recommended to resolve the error.

5. Fees, payment terms

5.1. In the case of an order, the User pays the usage fee to SELLVIO in advance. The service is activated once the User has paid the fee for the first period.

5.2. SELLVIO keeps a record of the amount paid and provides the User with access to the system depending on the subscription arrangement.

5.3. For monthly and annual plans, payment may be made by bank card. In the case of card payment, the User accepts that the service fee is deducted automatically at the interval selected by the User. Subscription fees already paid are non-refundable.

5.4. Within 5 working days of the payment being credited, SELLVIO issues an electronic invoice for the subscription in accordance with the applicable Hungarian legislation – in particular Act CXXVII of 2007 on Value Added Tax and Act C of 2000 on Accounting – and sends it to the e-mail address provided by the User; it then approves the subscription for the period and under the conditions specified in the plan, thereby activating the Online Store. The subscription period begins on the date of activation.5.5. If, for technical reasons, SELLVIO is unable to set up the requested service within 15 days of the bank credit, it shall inform the User in writing. The subscription plans – which define the duration and fee of the service, the online store functions available and the maximum number of products that may be sold in the registered online store – can be viewed on SELLVIO's website (plans

). SELLVIO reserves the right to change the fees of the service with non-retroactive effect.

5.6. The recurring net service fee is calculated on the basis of the subscription arrangement. The User makes payment in Hungarian forint (HUF) to SELLVIO's account, in accordance with the conditions indicated on the invoice.

5.7. If the User falls 15 days into arrears with the service fee due, SELLVIO is entitled to restrict the online store service in part or in full (e.g. by blocking the admin interface of the online store).

5.8. SELLVIO's service fee is also payable for the period of suspension due to late payment.

5.9. In the case of a payment delay exceeding 30 days, SELLVIO is entitled to terminate the agreement with immediate effect and to delete the online store.

5.10. Subscription plans The precise subscription plans, together with the list of functions and limitations they include, can be viewed on the features

page. SELLVIO reserves the right to modify these functions and limitations unilaterally. Monthly plans are invoiced every 30 days, annual plans every 365 days. Other services are not part of the Online Store System; the User accepts that separate fees may be charged for their use.

5.11. Discounts

SELLVIO is entitled to announce (plan) discounts. Announced discounts cannot be aggregated or combined with one another.

6. Rights of use

6.1. Certain parts of the Service, its graphic and content elements and the related source code are protected by copyright and other intellectual property rights.

6.2. For the duration of the use of the Service, the User receives a non-exclusive right of use from SELLVIO. This licence is unlimited in territory and always applies only to the period for which the User has settled its fees and payment obligations towards SELLVIO.

6.3. The User may not transfer the rights of use to a third party, may not grant sub-licences, may not modify or supplement the protected content, may not merge it with other content, and may not create derivative works based on it. SELLVIO does not hand over the source code to the User.

6.4. If the User infringes SELLVIO's copyright, SELLVIO will initiate legal proceedings before the competent court for the cessation of the infringement, for remedy, for the return of unjust enrichment and for damages, in accordance with the applicable legislation, in particular Act LXXVI of 1999 on Copyright.

7. Limitation of liability

7.1. The User may use the services solely at its own responsibility and risk. SELLVIO excludes, to the fullest extent permitted by law, its liability for pecuniary damage and for grievance arising from the infringement of personality rights in connection with the use of the service and with any breach of contract. SELLVIO excludes its liability for indirect damages, in particular lost profit, data loss and damage to reputation. The limitation of liability does not apply to liability for breach of contract caused intentionally or causing damage to human life, bodily integrity or health (Section 6:152 of the Hungarian Civil Code, Ptk.).

7.2. SELLVIO accepts no liability for the User's conduct towards its own customers, but cooperates with the authorities in uncovering any infringements.

7.4. SELLVIO and the User are released from contractual performance and from the related liability for damages upon the occurrence of a force majeure event. Force majeure means any extraordinary event occurring after the conclusion of the agreement that makes its performance impossible, that the parties could not foresee and could not avert, and that cannot be traced back to the culpable conduct of either party (in particular: state of emergency, strike, war, revolution, act of terrorism, natural disaster, fire, flood, epidemic, quarantine restrictions, shipping embargo).

8. Termination of the service

8.1. SELLVIO provides its services for an indefinite period from the confirmation of the order and the commencement of the provision of the service, until this agreement is terminated by notice or otherwise.

8.2. The User is entitled to terminate this agreement without giving reasons, by written notice sent electronically, with effect from the last day of the payment period. The User is not entitled to a refund of the service fee already paid before termination. After termination, the online store operates until the end of the period paid for in advance and then becomes inactive; 60 days after becoming inactive, all data of the store is deleted. If the User does not separately request the deletion of its personal data, such data remains in SELLVIO's database; the User expressly consents to this.

8.3. The User is entitled to terminate this agreement with immediate effect if SELLVIO unlawfully terminates or suspends the User's online store, or increases the fee of the service unjustifiably, to an extent that cannot be explained by market and economic circumstances. In such a case the User may claim a pro rata refund of the service fee paid.

8.4. SELLVIO is entitled to terminate this agreement without giving reasons, by written notice sent electronically, with 30 days' notice. The notice period begins on the day the notice is sent to the User.

8.5. SELLVIO may terminate the agreement with immediate effect if: 8.5.1. the User falls more than 30 days into arrears with its payment obligation due; 8.5.2. the duration of force majeure exceeds 60 days; 8.5.3. bankruptcy, liquidation or voluntary dissolution proceedings have been initiated against the User, or the User has otherwise become insolvent.

8.6. Extraordinary termination of the agreement may take place exclusively in writing – by registered letter with return receipt addressed to the party in breach, or by e-mail sent to the e-mail address provided at registration.

8.7. SELLVIO is entitled to suspend the operation of the User's online store immediately and without prior notice, and – if the cause of the suspension persists for more than 30 days – to delete the online store's data, in the following cases:

  • the User displays or sells in its online store a product or service that infringes an act or other legislation (in particular: radioactive, toxic and explosive substances, chemical products harmful to the environment, protected animal and plant species, human or animal organs, narcotics, pornographic material);
  • the User chooses a store name that SELLVIO considers unethical;
  • in the event of any outstanding invoice debt;
  • the User displays non-genuine company data on the interface of its online store;
  • in the event of the display of violent or racist content, or content inciting against any individual, assembly, group or organization;
  • in the event of the use of irrelevant keywords or description fields in the content or code of the online store;
  • in the event of the display of misleading or manipulative content;
  • in the event of the use of malicious program code;
  • if the User's online store is subject to a denial-of-service (DoS) attack, an attempt to breach identification or security measures, or any other attempt at unauthorized access to a customer identifier, computer or network;
  • in the event of the sending of mass unsolicited e-mail (SPAM);
  • in the event of the display of content damaging the good reputation of SELLVIO or of the service;
  • in the event of the display or advertising of a product or service competing with SELLVIO or with the service;
  • if complaints are received in relation to the User's online store to an extent that already affects the good reputation of SELLVIO or of the service.

8.8. If SELLVIO deletes the User's online store for the above reasons, the User is not entitled to damages or to a refund of the subscription fee, and may not claim the content of its online store from SELLVIO.

8.9. Thirty days after the termination of the agreement for any reason, the data of the online store is permanently deleted; restoration is not possible.

9. Amendment of the agreement

SELLVIO reserves the right to amend the GTC unilaterally, with non-retroactive effect, and shall inform the User of this in advance on the Online Store System interface, in a newsletter, or in a notification sent to the e-mail address given on the User's profile page. If the User does not agree with the amendment, it may terminate the agreement in writing (by e-mail) with effect from the date on which the amendment enters into force; the User is not, however, entitled to reclaim the service fee paid up to that date. SELLVIO records the content of the GTC and, following an amendment, archives the versions that have ceased to be in force, which remain accessible to Users thereafter.

10. Customer service

10.1. Communication between the User and SELLVIO takes place in writing, between the address [email protected] and the e-mail address provided by the User at registration or set in the administration interface.

10.2. Faults may be reported to the e-mail address [email protected]. The fault report shall include the operating system and its version used when the fault occurred, the name and exact version of the browser, the time of the fault, the steps taken up to that point, and the URL at which the fault can be viewed. If the service also displayed an error code, this shall likewise be included in the report.

10.3. SELLVIO undertakes to observe the response times. The response time is calculated from the moment SELLVIO registers the report, but at the latest from 9:00 a.m. on the first working day following dispatch. The response time is the time within which customer service responds to the reported fault and begins troubleshooting; the duration of troubleshooting is not counted towards the response time.

11. Use of the Online Store's data

11.1. SELLVIO may access and analyse the following data of the User's Online Store: visitor numbers, order numbers, revenue, cart value, conversion, revenue by product range, admin usage, and use of integrations and applications.

11.2. The purpose of such access and analysis is to enable SELLVIO to identify product development opportunities relevant to the User and to make offers, in particular to provide information about upgrading to a higher subscription plan or about its own new products.

11.3. SELLVIO is not entitled to publish, transmit or hand over individual and identifiable data relating to the Online Store to external persons. SELLVIO does not publish or transmit data broken down to individual online stores, or online store names.

11.4. SELLVIO may publish the Online Store's data exclusively in aggregated form that does not allow identification, and may name online store categories at most. Publication may take the form of a public blog post, a social media post or a newsletter.

12. Specific rules on Integrated services

12.1. With respect to Integrated services, the rules of this GTC apply with the following deviations; when using Integrated services, the User also accepts the Partner's general terms and conditions (the „Partner GTC”).

12.2. Integrated services are displayed and advertised on SELLVIO's website. The Integrated service, its technical support, the issuing of the invoice and the collection of fees are in every case provided by the Partner.

12.3. SELLVIO accepts no liability for the Partner's Integrated service, for faults or outages arising from the Partner's operation, or for any problem or damage arising from the operation of the Integrated service. SELLVIO does not review the details of the Integrated service and accepts no liability for its content or fitness for a particular purpose; the Partner is liable for these in accordance with the law.

12.4. The operation of an Integrated service requires it to be configured. The User must carry out the connection settings within the Integrated service or at the Partner; support is provided by the Partner. If the User later wishes to close its account for any reason, or requests the deletion of the data stored by the Integrated service, it must contact the Partner concerned, who is obliged to comply with the request in accordance with the legislation in force from time to time.

12.5. The User may switch off an Integrated service in SELLVIO's administration interface under the „External services” menu item, using the toggle on the product card of the given Integrated service. Switching the toggle off temporarily ends the operation of the Integrated service and the data connection between the Partner and SELLVIO's System is interrupted. If a subscription-based Integrated service is switched off, this does not cancel the subscription.

12.6. The Partner is obliged to publish on its own website the contact details (telephone number and e-mail address) at which it can be reached by the User.

12.7. If the User wishes to use an Integrated service, it must open an account with the Partner, which in certain cases also requires the conclusion of an agreement between the User and the Partner. Such an agreement is concluded exclusively between the User and the Partner.

12.8. The Integrated service is in every case configured by the User in SELLVIO's administration interface, by entering the configuration parameters provided by the Partner.

13. Final provisions

SELLVIO and the User shall make every effort to settle through direct negotiations any disagreement or dispute arising between them within the framework of or in connection with this agreement. The parties shall inform each other mutually and without delay of any circumstance arising after the contractual relationship is established that hinders the performance of the agreement.

In matters not regulated by this GTC, the provisions of Hungarian law apply – in particular Act V of 2013 on the Civil Code (Hungarian Civil Code, Ptk.) and Act CVIII of 2001 on certain issues of electronic commerce services and information society services (Ekertv.). The legal relationship of the parties is governed by Hungarian law; for the settlement of disputes the parties stipulate the exclusive jurisdiction of the court competent at the Service Provider's registered seat, depending on subject-matter competence.
